1. Agreement to Terms

By accessing and using Projecspace's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms and Conditions ("Terms") govern your relationship with Projecspace ("us", "we", or "our") regarding the use of our services, including but not limited to software development, consulting, and technical support services.

2. Services Description

Projecspace provides technology solutions and consulting services including:

  • Custom software development
  • System integration and modernization
  • Digital transformation consulting
  • Technical support and maintenance
  • Training and documentation services

All services are provided subject to these Terms and any additional agreements or statements of work executed between the parties.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Respond to requests for information in a timely manner
  • Make payments according to agreed terms
  • Provide necessary access to systems and personnel as required
  • Use our services in compliance with applicable laws and regulations
  • Not attempt to reverse engineer, modify, or distribute our proprietary solutions

4. Payment Terms

Payment terms are specified in individual project agreements or statements of work. Generally:

  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur interest charges at 1.5% per month
  • Services may be suspended for accounts more than 60 days overdue
  • All prices are exclusive of applicable taxes unless stated otherwise

5. Intellectual Property

Client-Specific Work: Custom solutions developed specifically for your business become your property upon full payment, unless otherwise specified in the project agreement.

Projecspace IP: Our methodologies, frameworks, tools, and pre-existing intellectual property remain our property. You receive a license to use these as part of your solution.

Third-Party Components: Some solutions may include third-party components subject to their own licensing terms, which will be disclosed and documented.

6. Confidentiality

We understand the sensitive nature of business information and commit to:

  • Maintain strict confidentiality of all client information
  • Use client information solely for providing agreed services
  • Implement appropriate security measures to protect confidential data
  • Not disclose client information to third parties without explicit consent
  • Return or destroy confidential information upon project completion if requested

7. Warranties and Disclaimers

Service Warranty: We warrant that our services will be performed with professional skill and care consistent with industry standards.

Software Warranty: Custom software is warranted to perform substantially in accordance with specifications for 90 days after delivery.

Disclaimer: Except as expressly stated, all services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

In no event shall Projecspace be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Termination

Either party may terminate ongoing services with 30 days written notice. Termination does not affect:

  • Obligations that arose before termination
  • Payment obligations for services already provided
  • Confidentiality obligations
  • Intellectual property rights

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new Terms.

For significant changes, we will provide reasonable notice to existing clients via email or other communication methods.
