1. Agreement to Terms

By accessing and using Projecspace's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service (“Terms”) govern your use of our project management services operated by Projecspace (“us”, “we”, or “our”).

2. Service Description

Projecspace provides project management services including but not limited to:

  • Project planning and strategy development
  • Resource allocation and timeline management
  • Risk assessment and mitigation
  • Stakeholder communication and reporting
  • Quality assurance and project delivery

Specific services provided will be outlined in individual service agreements or statements of work.

3. User Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your project requirements
  • Respond to communications and requests in a timely manner
  • Make necessary resources and personnel available as required
  • Comply with all applicable laws and regulations
  • Make payments according to agreed terms

Failure to meet these responsibilities may result in project delays or additional costs.

4. Payment Terms

Payment terms are as follows:

  • Payments are due according to the schedule outlined in your service agreement
  • Late payments may incur interest charges of 1.5% per month
  • Services may be suspended for accounts more than 30 days overdue
  • All prices are exclusive of applicable taxes unless otherwise stated
  • Refunds are provided according to our satisfaction guarantee policy

We accept major credit cards, bank transfers, and other payment methods as agreed.

5. Intellectual Property

Intellectual property rights are handled as follows:

  • You retain ownership of your business information and project data
  • We retain ownership of our methodologies, tools, and templates
  • Project deliverables created specifically for you become your property
  • We may use generalized project learnings to improve our services
  • Both parties respect third-party intellectual property rights

Specific intellectual property arrangements may be detailed in individual agreements.

6. Confidentiality

We are committed to protecting your confidential information:

  • All client information is treated as confidential
  • We implement appropriate security measures to protect data
  • Information is only shared with authorized team members
  • Confidentiality obligations survive termination of services
  • We may be required to disclose information if legally compelled

Additional confidentiality terms may be included in separate non-disclosure agreements.

7. Limitation of Liability

Our liability is limited as follows:

  • Total liability shall not exceed the amount paid for services
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for delays caused by client actions or external factors
  • Force majeure events excuse performance delays
  • Some jurisdictions may not allow liability limitations

We maintain professional liability insurance to protect both parties.

8. Termination

Either party may terminate services under the following conditions:

  • 30 days written notice for convenience (subject to minimum commitments)
  • Immediate termination for material breach after 10 days cure period
  • Immediate termination for non-payment after 30 days
  • Upon completion of project deliverables
  • By mutual agreement of both parties

Termination procedures and obligations will be detailed in service agreements.

9. Dispute Resolution

Disputes will be resolved through the following process:

  • Good faith negotiations between the parties
  • Mediation through a mutually agreed mediator
  • Binding arbitration if mediation fails

We encourage open communication to resolve issues before formal procedures.

10. Changes to Terms

We reserve the right to modify these terms:

  • Changes will be posted on our website
  • Significant changes will be communicated directly to clients

  • Existing contracts remain governed by terms at time of signing
  • You may terminate services if you disagree with changes
